🇺🇸🇮🇱⚡️ — U.S. cybersecurity company Proofpoint, owned by private equity firm Thoma Bravo, has agreed to acquire Israeli-founded data security firm Varonis Systems in an all-cash transaction worth approximately $6.3 billion.
Varonis shareholders will receive $49.75 per share, representing a 52% premium over the company's share price before takeover speculation emerged in June.
The acquisition, expected to close in the first half of 2027, will take Varonis private and expand Proofpoint's capabilities in data protection and AI security.
Varonis employs approximately 2,800 people, including around 1,000 in Israel.
