Binance bought $100 million of Circle stock in a private placement that closed Sept. 17 — 1.24 million Class A shares at $80.84 each — right alongside a five-year deal where Circle pays the exchange a monthly fee tied to how much USDC moves through its rails.
▪️ The shares went out below where Circle was trading at the time — a discount written straight into an unregistered private placement.
▪️ Binance can't sell, transfer or hedge them until two years pass or until it terminates the commercial arrangement first; voting rights stay with Binance.
▪️ That monthly incentive is calculated as a percentage of the USDC held through Circle's Modular Smart Contract Wallet service.
▪️ On top of cashing checks from the issuer, Binance runs promotional activity for USDC across its own platform.
▪️ This replaces their earlier USDC deals from November 2024 and August 2025; either side can walk early if specified events hit.
▪️ Because nothing was registered, Binance can't dump those shares unless they get registered or an exemption applies.
